		<content><![CDATA[Montreal, April 28, 2022 — The Board of Directors of the Institute for governance (IGOPP) is pleased to announce that Guylaine Saucier has been appointed Chair of the Board. An active member of IGOPP’s Board since its inception in 2005, Ms. Saucier is an experienced corporate director who serves or has served on the boards of many large national and international corporations.

She succeeds Professor Yvan Allaire, who has served as Executive Chair of the Institute since it was created in 2005. In recognition of his many accomplishments and invaluable contribution to the development and advancement of good governance practices in private and public organizations, the Board has designated Professor Allaire as Chair Emeritus.

“On behalf of IGOPP’s directors and employees, I would like to offer warm thanks to Professor Allaire for his long-standing involvement and his important contribution to IGOPP’s success. Under his forward-looking leadership, IGOPP has become an essential reference on governance issues in Quebec, across Canada and internationally. 		<content><![CDATA[Montreal, April 28, 2022 — François Dauphin, President and CEO of the Institute for governance (IGOPP) is pleased to announce that Mtre Patric Besner has been appointed the Institute’s Vice-president. This strategic addition to IGOPP’s management will provide support to all of the Institute's multidisciplinary activities and contribute significantly to the strategic diversification of training and integrated coaching services for directors and senior management.

“We are fortunate to welcome Mtre Patric Besner to the IGOPP management team. He is enthusiastic about governance, and already fully engaged and excited about the nature of the challenges that lie ahead as our field undergoes rapid evolution, marked by fundamental changes that are transforming our organizations through new environmental, social and governance (ESG) challenges. Mtre Besner's contribution to discussions on these recent issues will definitely assist IGOPP in its mission to assume intellectual leadership in the field of governance,” said Mr. Dauphin.

Mtre Besner, who is passionate about business law, began his career with a major Montreal law firm and then worked as legal counsel to a Canadian retail and real estate investment company.  In 1993, he founded the boutique firm Besner, Business Lawyers, which specialized in business law (transactional and corporate governance).

Mtre Besner has been responsible for the legislation of the CBA-QC's business section since 2008. He has participated in the CBA-QC's study committee on the Business Corporations Act and has chaired several committees, including the CBA-QC’s study committee on the Not-for-profit Corporations Act and study committee on the Act respecting the legal publicity of enterprises. He was a member of the “Groupe de suivi experts/REQ relativement au projet MIRE,” a committee created by the Agence du revenu du Québec and the Enterprise Registrar to assist them in the reform of Quebec’s Enterprise Register (2011-2014).

Since December 2021, he has been a member of the external advisory committee of business law experts created by the Québec Enterprise Registrar to assist in the reform of corporate transparency following the enactment of the Act mainly to improve the transparency of enterprises.

He has also given numerous conferences and training sessions and is the author of several articles.

The challenges in governance are numerous, making an institution like IGOPP more relevant and necessary than ever. 		<content><![CDATA[Montreal, November 18, 2020—As part of its biennial celebration of the Great builders of the Quebec economy, the IGOPP has named Louis Audet, Executive Chair of the Board of Cogeco, and Madeleine Paquin, President and CEO of LOGISTIC, as the laureates of its sixth edition.

Since this initiative was launched in 2010, the IGOPP has been celebrating the boldness, innovation and outstanding merits of the exceptional business builders who are shaping Quebec's economy.

The two 2020 laureates are a shining example of the contribution made to Quebec society by long-standing, family-owned businesses. The IGOPP is very pleased to recognize their economic success and their social commitment.

The Chair of IGOPP’s Board, Yvan Allaire, praised the two honorees: “The IGOPP is especially pleased to highlight the success of companies such as Cogeco and Logistec, which are a compelling example of what we call a ‘capitalism of owners,’ that is, a capitalism forged by companies that are controlled by entrepreneurs and their families who have established long-lasting businesses.”

“Cogeco and LOGISTEC are committed to the long term and are strongly influenced by family values,” added François Dauphin, the IGOPP’s President and CEO. “They have developed a form of ownership that ensures the continuity of their control in Quebec. Their success and their exceptional contribution to the Quebec economy are a particularly enlightening example for new generations of entrepreneurs.”

A bronze plaque for each of the laureates will be added to the Wall honouring the Great builders of the Quebec economy, on the mezzanine at 1000 de la Gauchetière West, which features more than a dozen builders. The following people have been honoured since 2010: Laurent Beaudoin, Paul Desmarais Sr., Alain Bouchard, Serge Godin, John and Eric Molson, André Chagnon, the Lemaire and Pomerleau families, and the financial and agricultural cooperative movement, specifically Dorimène and Alphonse Desjardins.

This Wall is intended to remind future generations of the efforts made by the entrepreneurs who have built and will continue to build important, sustainable businesses in the Quebec economy.

		<content><![CDATA[Montreal, May 21, 2020 – The board of directors of the Institute for governance (IGOPP) is pleased to announce that François Dauphin has been appointed president and CEO and director of IGOPP, effective June 1, 2020.

He will succeed Michel Nadeau, who has been IGOPP’s Director General since it was created in 2005. Professor Yvan Allaire, executive chair of the board for the past 15 years, will assume the (non-executive) chair of the board for a transition period. Mr. Nadeau will continue to act as advisor to the new CEO.

Mr. Dauphin has held the position of research director at IGOPP from 2014 to 2017 during which time he led various research projects, in collaboration with the executive chair. Several of these studies, policy papers, articles and research reports have been published in national and international publications.

An accountant by training (CPA), Mr. Dauphin also holds an MBA and has completed doctoral studies in strategy. His demonstrated ability to carry out first-rate research and lead training programs combined with over 20 years of practical, hands-on experience in management, strategy and governance make for a leader who is sensitive to all aspects of CEO’s responsibility. Under his guidance and leadership, IGOPP meet the new challenges in the field of governance.

Professor Allaire welcomed the appointment: “Having known Mr. Dauphin as a student and then as a colleague at IGOPP, I applaud his appointment as CEO with enthusiasm and confidence. The Institute for which Michel and I have worked so hard will be in good hands for years to come.”

“Since IGOPP was created, more than 300 organizations have called upon our governance expertise under affordable conditions,” added Mr. Nadeau. “Based on cutting-edge research and innovative concepts, IGOPP has fashioned a unique place in the cluttered field of governance and has offered training in the principles of good governance to many people. And the new CEO shares this goal.”

For the past three years, Mr. Dauphin was executive vice-president and shareholder of a property management firm with responsibility for the company's finance, accounting and human resources management, as well as for the supervision and governance of some 20 co-owners’ boards of directors.

Previously, Mr. Dauphin was director, finance and strategic investments with a private family conglomerate. In this role, Mr. Dauphin also provided general management and financial management of various operational subsidiaries during transition periods, primarily SMEs in the distribution and retail trade.

For more than a decade, Mr. Dauphin has lectured at the strategy department of the École des sciences de la gestion, Université du Québec à Montréal where he taught a master’s seminar on Strategy and Radical Change”.

“I am proud and enthusiastic to take up my new duties at IGOPP and build on the remarkable success of Professor Allaire and Mr. Nadeau over the last 15 years. I am sure that my business experience and knowledge of the world of governance will be useful in meeting new challenges as the field of governance continues to evolve,” said Mr. Dauphin.

		<content><![CDATA[Montreal, September 25, 2019 – The Royal Society of Canada has awarded the Yvan Allaire medal to Professor Anita Anand and Réal Labelle respectively Professor of Law and J.R. Kimber Chair in Investor Protection and Corporate Governance at the University of Toronto and Emeritus Professor at HEC Montreal.

In partnership with the Institute for Governance (IGOPP), The Royal Society of Canada awards this medal for excellence in research in matters of governance. The recipients have distinguished themselves by their singular contributions to the field of governance.

The Yvan Allaire medal, which comes with a $5 000 scholarship, was named in honor of Professor Yvan Allaire, Executive chair of IGOPP and Fellow of the Royal Society of Canada who is an authority in the field of governance in Quebec and Canada.

Montreal (February 4, 2019) — In Canada, the number of companies with multiple voting shares has dropped from 100 in 2005 to 69 in 2018. But these companies continue to play a vital role in the Canadian economy.

The Institute for Governance has issued a policy paper in support of multiple voting shares, urging entrepreneurs to adopt this type of capital structure when and if they decide to issue shares to the public. In Canada where few protective measures are in place against unwanted takeovers, a dual-class of shares allows entrepreneurs to maintain control of their business and ultimately create family controlled businesses.

Corporations with dual-class voting rights generally perform better, have a longer life and are better integrated into the social fabric of their environment. Of course, these firms are less vulnerable to short-term pressures of financial markets and thus are able to plan and manage in the long-term interest of all stakeholders.

IGOPP believes that dual-class companies must adopt a set of measures to provide minority shareholders with adequate protection:

 	The voting ratio should be set at four (4) votes and in no cases should it exceed ten (10) votes per share. Shares without voting rights should be prohibited.
 	It is essential in case of a sale of the company, or of its control, that all shareholders be treated equally (coattail provision).
 	There should be separate vote tallies for each class of shares for all proposals submitted to shareholders.
 	One third of board members should be elected by shareholders with single voting rights.

IGOPP’s policy paper argues against time-based sunset clauses and supports the transfer of control of the company to the heirs of the founder.
